End User License Agreement.

1. The license

LawGPT LLC ("we", "us") grants you a limited, non-exclusive, non-transferable, revocable license to install and use the LawGPT software (the "Application") on a device you own or control, for the sole purpose of using the LawGPT service in accordance with the Terms of Service and the Acceptable Use Policy. The Application is licensed, not sold.

2. Permitted use

You may install and use the Application on devices you control, for yourself and, if you are using it on behalf of an organization, for the authorized users of that organization. The Application is for internal business use within the customer account that is paying for the service.

3. Restrictions

You will not, and will not permit any third party to:

• Share, redistribute, sell, rent, lend, lease, sublicense, or otherwise make the Application available to any third party
• Reverse engineer, translate, disassemble, decompile, or attempt to derive the source code, model weights, or algorithms of the Application or the underlying service, except to the extent applicable law expressly permits this and overrides this restriction
• Modify, adapt, or create derivative works of the Application, or combine it with other software in a way that creates a derivative work
• Remove, alter, or obscure any proprietary notice, label, or mark
• Use the Application to build, train, fine-tune, or evaluate any competing product or AI model
• Use the Application in a way that violates the Acceptable Use Policy

4. Updates and changes

We may push updates to the Application, including security fixes, bug fixes, and new features. Some updates may be required to keep the Application working with the service. We may also change the technical specifications, system requirements, or supported platforms; we will give reasonable notice when we drop support for a platform you are using.

5. Maintenance and support

Maintenance and support are provided as described on the Security page and in the support terms of your subscription. We do not guarantee any specific response time outside of a written enterprise agreement.

6. Privacy

The Application may transmit account, device, and usage data back to our service to operate, secure, and improve it. See the Privacy Policy for the details.

7. Warranty

Except as required by applicable law, the Application is provided "as is" and we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy of AI output, and non-infringement. Where applicable law gives you a non-waivable warranty, that warranty is limited to ninety (90) days from your first install.

8. Limitation of liability

Our liability for breach of obligation and for tort is limited to intent and gross negligence. For breach of an essential contractual duty (a "cardinal obligation"), we are also liable in case of ordinary negligence, but only for foreseeable damages typical of this kind of contract. The foregoing limits do not apply to injury to life, body, or health, or where applicable law prohibits a limitation.

To prevent loss of data, you are responsible for using any export and backup features provided by the service in accordance with the terms of any third-party platform (for example, the Apple App Store Terms).

9. Third-party platforms

If you obtained the Application through a third-party platform (such as the Apple App Store or Google Play), additional terms imposed by that platform may apply, and in case of conflict the stricter terms control. We — not the platform — are solely responsible for the Application and any support obligations under this EULA.

10. Term and termination

This EULA takes effect when you install the Application and remains in effect until terminated. We may terminate it if you breach a material term and do not cure within a reasonable period. On termination you must stop using and uninstall the Application. The provisions about restrictions, warranty, liability, and governing law survive termination.

11. Governing law

This EULA is governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-laws rules. The courts located in Puerto Rico have exclusive jurisdiction over disputes.
